1. Introduction

Welcome to Nullspace Technologies Ltd. ("Company", "we", "our", "us")! These Terms of Service ("Terms") govern your use of our website at https://nullspace.so and our AI-powered automation platform (collectively, the "Service") operated by Nullspace Technologies Ltd., a company registered in England and Wales, whose registered office is at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ.

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of the terms, then you may not access the Service.

2. Definitions

For the purposes of these Terms:

  "Account" means a unique account created for you to access our Service or parts of our Service.

  "User" or "you" means any person who accesses or uses the Service, including Subscribers.

  "Subscriber" means a User who has purchased a subscription to the Service.

  "Content" means any information or data, including text, software, images, audio, video, that can be accessed, viewed, or created using the Service.

  "User Content" means Content submitted, uploaded, or otherwise provided by Users to the Service.

  "AI Output" means Content generated by our artificial intelligence systems in response to User inputs.

3. Account Terms

When you create an Account with us, you guarantee that the information you provide is accurate, complete, and current at all times. Inaccurate, incomplete, or outdated information may result in the immediate termination of your Account.

You are responsible for maintaining the confidentiality of your Account and password, including but not limited to restricting access to your computer and/or Account. You agree to accept responsibility for any and all activities or actions that occur under your Account and/or password.

You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your Account. We reserve the right to refuse service, terminate Accounts, remove or edit Content, or cancel subscriptions at our sole discretion.

4. Subscriptions and Billing

Our Service operates on a subscription basis. The features and services available to you depend on the type of subscription you purchase.

Subscription fees are billed in advance on either a monthly or annual basis depending on the subscription plan you select. Unless otherwise stated, all fees are quoted in Pounds Sterling (GBP) and are exclusive of VAT or other applicable taxes.

Subscriptions automatically renew at the end of each billing period unless cancelled beforehand. You can cancel your subscription renewal through your Account settings or by contacting our support team.

We may change our subscription fees at any time. If we do so, we will give you at least 30 days' notice of the change. If you do not agree to the change, you may cancel your subscription before the change takes effect.

For enterprise customers, special pricing and terms may be negotiated and will be specified in a separate written agreement.

5. Free Trial

We may offer a free trial of our Service for a limited period. At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends.

To sign up for a free trial, you may need to provide billing information. We will not charge you until the free trial period expires. On the last day of the free trial, unless you have cancelled your subscription, we will automatically charge you the applicable subscription fee.

We reserve the right to modify or terminate free trials at any time without prior notice.

6. AI Services and Data Use

Our Service incorporates artificial intelligence technologies to create automations, workflows, and interfaces based on your inputs. The following terms apply specifically to your use of our AI features:

  Training Data - We may use aggregated and anonymized usage data to improve our AI models. Any data used for training will be de-identified and cannot be traced back to individual users. If you do not want your anonymized data used for training, you can opt out through your Account settings.

  AI Outputs - The ownership of AI Outputs depends on the nature of the output and the inputs provided. You retain all rights to your User Content. We grant you a license to use AI Outputs generated for you, subject to these Terms.

  Enterprise Customers - For enterprise customers, we offer customized data processing agreements that specify data handling, retention, and usage rights in more detail.

  Acceptable Use - You agree not to use our AI Services to generate, upload, or distribute content that is illegal, harmful, abusive, racially or ethnically offensive, or otherwise objectionable.

7. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Nullspace Technologies Ltd. and its licensors. The Service is protected by copyright, trademark, and other laws of the United Kingdom and foreign countries.

You retain all rights to your User Content. By uploading or sharing User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute your User Content in connection with providing and improving the Service.

You represent and warrant that: (i) you own the User Content you upload or otherwise have the right to grant the license set forth above, and (ii) the uploading and use of your User Content does not violate the privacy rights, publicity rights, copyrights, contract rights, intellectual property rights, or any other rights of any person.

8. API Usage

Our Service may include access to application programming interfaces (APIs) that allow you to integrate our AI capabilities with your own applications. When using our APIs, you agree to:

  Comply with any rate limits and authentication requirements.

  Not attempt to circumvent or override any security features.

  Not use the APIs in a manner that could damage, disable, overburden, or impair our servers or networks.

  Not resell API access unless specifically authorized in a separate agreement.

We reserve the right to set and modify the limits on your use of the APIs at any time, with or without notice.

9. Limitation of Liability

To the maximum extent permitted by law, in no event shall Nullspace Technologies Ltd., its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  Your access to or use of or inability to access or use the Service.

  Any conduct or content of any third party on the Service.

  Any content obtained from the Service.

  Unauthorized access, use, or alteration of your transmissions or content.

Our liability is limited to the maximum amount paid by you, if any, for accessing the Service during the twelve months immediately preceding the date of your claim, or £100, whichever is greater.

Nothing in these Terms shall limit or exclude our liability for death or personal injury resulting from our negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

10. Termination

We may terminate or suspend your Account and access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including but not limited to a breach of these Terms.

Upon termination, your right to use the Service will cease immediately. If you wish to terminate your Account, you may simply discontinue using the Service and cancel your subscription.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

12. Changes to These Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
